Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and [ENTITY NAME, e.g. Taskz Inc.](“Taskz,” “we,” “us”) and govern your use of the Taskz application and related services (the “Service”). By creating an account or using the Service you agree to these Terms.

1. Acceptance

You may use the Service only if you can form a binding contract with Taskz and only in compliance with these Terms and all applicable laws. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, in which case “you” refers to that organization.

2. Accounts

  • You must provide accurate registration information.
  • You are responsible for safeguarding your password and for any activity under your account.
  • You must notify us immediately at [security@yourdomain] of any unauthorized access.
  • One person or legal entity may not maintain more than one free account.

3. Plans & billing

The Service is offered on a freemium basis. Paid plans (collectively, “Pro”) are billed in advance on a subscription basis through our payment processor, Stripe, Inc. All fees are non-refundable except as required by law or as expressly stated by us. You may cancel at any time; access continues through the end of the current billing period. Taxes may apply based on your billing address.

4. Acceptable use

You agree not to, and not to permit others to:

  • Use the Service to store or transmit unlawful, infringing, harassing, defamatory, or otherwise objectionable content.
  • Use the Service to send spam, phishing material, malware, or to violate anyone’s privacy.
  • Reverse engineer, decompile, scrape, or attempt to access the Service other than through the interfaces we provide.
  • Resell or sublicense the Service without our written permission.
  • Use the Service to build a competing product or to benchmark the Service for a competing product.
  • Interfere with or disrupt the integrity or performance of the Service, including bypassing rate limits or access controls.

5. Your content

You retain all rights in the content you submit to the Service (“Your Content”). You grant Taskz a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and modify Your Content solely as necessary to provide the Service to you and your collaborators. You are responsible for Your Content and represent that you have all rights necessary to grant this license.

You can export or delete Your Content at any time via the in-app Data export and Delete account controls. After account deletion we retain only the minimum required for audit, legal, or backup purposes for up to [RETENTION PERIOD, e.g. 30 days].

6. Our intellectual property

The Service, including its software, design, branding, and documentation, is owned by Taskz and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. No other rights are granted.

7. Third-party services

The Service uses third-party providers for infrastructure (Vercel), database and authentication (Supabase), email (Resend), payments (Stripe), and optional AI inference (Ollama or other model providers you configure). Your use of the Service is also subject to those providers’ terms. We are not responsible for third-party services and you use them at your own risk.

8. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access without notice if you breach these Terms, if required by law, or to protect the Service or other users. Sections that by their nature should survive termination (including 5, 6, 9, 10, 11, and 13) will survive.

9. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.

10. Limitation of liability

To the maximum extent permitted by law, Taskz will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total cumulative liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid us in the twelve months before the event giving rise to liability, or (b) $100.

11. Indemnification

You will defend, indemnify, and hold harmless Taskz and its officers, directors, employees, and agents from any claim, liability, damage, or expense (including reasonable attorneys’ fees) arising out of (a) Your Content, (b) your use of the Service, or (c) your breach of these Terms or applicable law.

12. Changes to these terms

We may update these Terms from time to time. If a change is material, we will give you reasonable notice (for example, by email or an in-app notice). Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing law

These Terms are governed by the laws of [GOVERNING JURISDICTION, e.g. the State of Delaware, USA] without regard to its conflict-of-law principles. Any dispute will be resolved in the courts located in [VENUE, e.g. New Castle County, Delaware], and you consent to that exclusive jurisdiction and venue.
